Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Softbooq platform, operated by Everbright & Company, Germany, European Union. By creating an account, you agree to these Terms. Please read them carefully.

1. The Service

Softbooq is a cloud-based enterprise resource planning (ERP) platform providing modules for sales, invoicing, purchasing, inventory, finance, accounting, HR, CRM, project management, asset management, contracts, scheduling, business travel, manufacturing, IT management, and compliance. The ecosystem also includes Softbooq Files (unified cloud file management), Softbooq AI (AI-powered business assistant with document extraction), and a client-facing portal. We grant you a limited, non-exclusive, non-transferable licence to access and use the platform in accordance with your subscription plan and these Terms.

2. Subscription Plans & Billing

Softbooq is offered on a monthly per-seat subscription. Prices are displayed in USD and charged monthly via Stripe: - Go: $7.99/user/month - Plus: $10.99/user/month - Pro: $13.99/user/month A 30-day free trial is applied automatically on first checkout. Subscriptions renew automatically unless cancelled before the renewal date. Stripe Adaptive Pricing may display your local currency equivalent at checkout.

3. Plan Limits

All subscription tiers include unlimited stores, locations, and employees. The number of licensed seats determines how many team members have system access. Additional seats can be purchased at any time via the Billing section in your account settings.

4. Acceptable Use

You agree not to: - Use the platform for unlawful purposes or in violation of applicable laws or regulations - Attempt to gain unauthorised access to other accounts, systems, or data - Resell, sublicense, or white-label access to the platform without written permission - Upload malicious code, interfere with platform integrity, or conduct denial-of-service attacks - Submit documents or data through AI features that you are not authorised to process - Use the payment run features to initiate fraudulent or unauthorised transactions - Impersonate any person or organisation Softbooq reserves the right to suspend or terminate accounts in violation of this policy without prior notice.

5. Data Ownership

You retain full ownership of all data you input into Softbooq. We do not claim any rights over your business data. You may export your data at any time. Upon account deletion, your data is permanently removed from our systems within 30 days, except where retention is required by law.

6. AI Features

Softbooq includes AI-powered features including an AI business assistant and document scanning/extraction (collectively, 'AI Features'). By using AI Features, you acknowledge and agree to the following: (a) Data transmission: AI Features send relevant data — including document images, conversation context, and business record summaries — to Google Gemini, a third-party AI service operated by Google LLC. This processing is subject to Google's API Terms of Service. (b) No training use: Softbooq does not use your business data to train or fine-tune AI models. Under Google's API usage policies, Google does not use API input/output to train its models by default. (c) Accuracy: AI-generated responses are provided for informational purposes only. They may contain errors or omissions. You are solely responsible for reviewing and verifying any AI-generated content before acting on it. Softbooq accepts no liability for decisions made based on AI output. (d) Opt-out: You may disable AI Features at any time in Settings → Intelligence. (e) Authorisation: When submitting documents for AI extraction, you confirm you are authorised to process the personal data contained in those documents.

7. Third-Party Integrations & Your Credentials

The platform enables you to connect third-party accounts including payment providers (Wise, Revolut), open banking (Enable Banking), cloud file storage (Google Drive, OneDrive, SharePoint, Dropbox, Box), calendar services, and email providers. When connecting third-party accounts: (a) You confirm you have the authority to connect those accounts to Softbooq. (b) API keys, OAuth tokens, and credentials you provide are stored securely in our encrypted infrastructure. You bear responsibility for their security and for any actions initiated through the platform using those credentials. (c) Softbooq is not responsible for the availability, accuracy, costs, or actions of connected third-party services. (d) Disconnecting a third-party account within Softbooq does not automatically revoke OAuth permissions granted to that provider. You must also revoke access in the provider's own settings. (e) You agree to comply with the terms of service of each connected third-party provider.

8. Financial Transactions

Softbooq enables the initiation of financial transactions through connected payment providers (Wise and Revolut Business). You acknowledge: (a) Irreversibility: once a payment run is submitted, it may not be possible to cancel or reverse it. You are responsible for verifying all payment details — recipient bank details, amounts, and currencies — before submission. (b) Softbooq's role: Softbooq acts solely as an interface to your connected payment provider accounts. We do not hold, transmit, or clear funds. All transactions occur directly between your connected provider account and the designated recipients. (c) Liability: Softbooq is not liable for payment failures, incorrect transfers, exchange rate losses, or any financial loss arising from the use of payment run features. You must maintain adequate internal controls and approval workflows. (d) Regulatory compliance: you are solely responsible for ensuring all outbound payments comply with applicable financial regulations, sanctions screening, and anti-money laundering (AML) requirements.

9. Client Portal

Account administrators may grant their customers ('clients') access to a client portal where clients can view invoices, projects, support tickets, and make payments via Stripe. As an administrator granting client portal access: (a) You are the data controller for your clients' personal data and bear full responsibility for their experience of the portal. (b) You must have a lawful basis under applicable data protection law for sharing client data through the portal. (c) Softbooq is not a party to the relationship between you and your clients. (d) Client portal access may be revoked at any time from Customer settings.

10. Data Processing Agreement

Softbooq processes personal data on behalf of account administrators as a data processor under GDPR Article 28. By accepting these Terms, you enter into a Data Processing Agreement with Everbright & Company under the following terms: (a) Softbooq processes personal data only as necessary to provide the platform services described in these Terms. (b) Softbooq implements appropriate technical and organisational security measures to protect personal data, including encryption at rest, row-level security, and access controls. (c) Softbooq will notify you without undue delay of any personal data breach affecting your workspace data. (d) Softbooq will assist you in fulfilling obligations to respond to data subject access requests. (e) Sub-processors used by Softbooq are listed in the Privacy Policy. You will be notified of material changes to this sub-processor list. (f) Upon termination, personal data will be deleted or returned as described in the Privacy Policy. 11. Service Availability

We aim to provide continuous platform availability. Scheduled maintenance will be communicated in advance. We are not liable for temporary unavailability caused by factors outside our reasonable control, including network outages, third-party service disruptions, or force majeure events.

12. Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not offer partial refunds for unused subscription time. For billing disputes, contact support@softbooq.com within 30 days of the charge.

13. Intellectual Property

The Softbooq platform, its design, code, branding, and documentation are the intellectual property of Everbright & Company. You may not copy, reverse engineer, decompile, or create derivative works based on the platform without prior written permission. Your data and content remain your property at all times.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Everbright & Company shall not be liable for: (a) Indirect, incidental, special, consequential, or punitive damages of any kind; (b) Loss of revenue, profit, data, goodwill, or business opportunity; (c) Financial losses arising from payment runs, bank transactions, currency conversions, or any financial transaction facilitated through connected third-party payment providers; (d) Errors or omissions in AI-generated content; (e) Loss of or unauthorised access to data stored in connected third-party accounts (cloud storage, calendar, email). Our total aggregate liability for direct damages shall not exceed the total fees paid by you to Softbooq in the three calendar months preceding the event giving rise to the claim. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

15. Governing Law

These Terms are governed by the laws of Germany. Any disputes shall be subject to the exclusive jurisdiction of the courts of Germany. Nothing in these Terms affects your statutory rights as a consumer or business under applicable EU consumer protection or commercial law.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.
